Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Moat Finance’s websites, web application, iOS application, desktop application, browser extension, Model Context Protocol (“MCP”) server, artificial intelligence integrations, local and cloud services, and related products and features collectively referred to as the “Service.”

Moat Finance is currently operated by an individual sole proprietor in Utah. In these Terms, “Moat Finance,” “we,” “us,” and “our” refer to the operator of the Service.

By creating an account, purchasing a subscription, downloading or installing our software, connecting an account or AI assistant, or otherwise using the Service, you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, do not use the Service.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service.

By using the Service, you represent that:

  • You are at least 18 years old.
  • The information you provide is accurate and complete.
  • You have the legal authority to connect, upload, manage, or share the financial information you provide.
  • Your use of the Service does not violate any applicable law or contractual obligation.

The Service is intended primarily for personal and household financial organization. It is not intended for use by children.

2. The Service

Moat Finance provides tools for organizing, reviewing, and understanding financial information. Depending on the product, plan, device, region, and features available to you, the Service may include:

  • Financial account and transaction aggregation
  • Spending and income tracking
  • Budgets and categorization rules
  • Cash-flow and net-worth projections
  • Investment and retirement records
  • Liability and debt tracking
  • Real-estate records
  • Insurance policy information and document storage
  • Tax-related tags and organizational tools
  • Financial goals and scenarios
  • Household sharing
  • Data imports and exports
  • Cloud-based and local-only storage options
  • MCP connections and integrations with external AI assistants
  • Browser-extension and retail purchase-import features

Some features may be labeled as beta, preview, experimental, or early access. Those features may be incomplete, change without notice, or contain errors.

We may add, change, suspend, or discontinue features as the Service evolves. When reasonably possible, we will provide notice before making a material change that significantly reduces paid functionality.

3. Accounts and account security

You may need to create an account to use some parts of the Service.

You are responsible for:

  • Providing accurate account information
  • Maintaining the confidentiality of your password and authentication credentials
  • Protecting your devices and active sessions
  • Configuring two-factor authentication when appropriate
  • Promptly notifying us of suspected unauthorized access
  • All activity conducted through your account unless caused by our failure to use reasonable security measures

You may not share your password, session token, personal access token, recovery code, or other authentication secret with an unauthorized person.

Contact support@moatfinance.ai immediately if you believe your account has been compromised.

4. Financial account connections

The Service may allow you to connect financial institutions through third-party providers such as Plaid, MX, Finicity, Apple FinanceKit, or other supported providers.

These connections are intended to be read-only. Moat Finance does not receive or store your bank login credentials when authentication is handled by a financial data provider.

By connecting an account, you authorize Moat Finance and its applicable providers to access, retrieve, normalize, store, and display the financial information made available through that connection.

You represent that:

  • You own the connected account or have permission from the account owner.
  • You are authorized to grant this access.
  • Your use of the connection complies with the financial institution’s terms.

Financial data may be delayed, incomplete, duplicated, incorrectly categorized, unavailable, or temporarily outdated. Financial institutions and data providers may change or interrupt access without notice. You are responsible for verifying important information against official account statements and records.

Moat Finance cannot guarantee that every institution, account, transaction, balance, holding, or data field will be supported or continuously available.

5. Information you provide

You may enter, upload, import, or connect information including transactions, accounts, investments, liabilities, insurance policies, insurance documents, budgets, notes, tags, rules, forecasts, household information, and other financial records.

You retain ownership of the information you provide.

You grant Moat Finance a limited, nonexclusive license to host, process, reproduce, transmit, format, and display that information only as reasonably necessary to:

  • Operate and secure the Service
  • Provide features you request
  • Sync information across your authorized devices
  • Fulfill requests from integrations you authorize
  • Diagnose errors and prevent abuse
  • Meet legal obligations

You are responsible for ensuring that the information you provide is lawful and that you have permission to provide it.

6. Household access and shared information

The Service may allow an account owner to invite household members or other authorized users.

The account owner is responsible for:

  • Choosing whom to invite
  • Configuring appropriate permissions
  • Ensuring the invited person is authorized to view shared information
  • Obtaining any necessary permission before adding another person’s financial, insurance, or personal information
  • Removing access when it is no longer appropriate

Household members may be able to view sensitive financial information depending on the permissions selected. You should review those permissions carefully.

Moat Finance is not responsible for disclosures made through permissions you intentionally grant, except where the disclosure results from our failure to apply the permissions you selected.

7. AI assistants, MCP, and third-party integrations

Moat Finance may allow you to connect your account to external AI assistants, agents, plugins, connectors, MCP clients, or other third-party applications.

Examples may include ChatGPT, Claude, OpenClaw, Cursor, or other compatible services.

When you authorize an integration, that integration may request financial information from Moat Finance within the permissions and scopes you approve.

You understand that:

  • The external service is operated by a third party.
  • The third party’s own terms and privacy policy apply to its processing of information.
  • Information returned to an external AI assistant may be stored, processed, or displayed by that provider.
  • AI-generated responses may be inaccurate, incomplete, outdated, or misleading.
  • Moat Finance does not control how an external AI provider interprets or presents information after it is provided.
  • You are responsible for reviewing the scopes and permissions granted to each connection.
  • You may revoke a connection from Moat Finance, but revocation may not delete information previously received by the external provider.

You should not rely on an AI-generated response without independently verifying information that could affect your finances, insurance coverage, taxes, investments, legal rights, health coverage, or other important decisions.

Do not share personal access tokens or other authentication secrets with a service you do not trust.

8. No professional advice or fiduciary relationship

Moat Finance provides software for organizing and understanding information. It does not provide individualized financial, investment, tax, accounting, legal, insurance, medical, actuarial, credit, or other regulated professional advice.

Moat Finance is not acting as your:

  • Financial adviser
  • Investment adviser
  • Broker or dealer
  • Bank or financial institution
  • Tax preparer or accountant
  • Attorney
  • Insurance agent, producer, broker, or underwriter
  • Fiduciary
  • Credit counselor
  • Healthcare provider

Information, projections, comparisons, forecasts, alerts, summaries, and AI-generated outputs are provided for informational and organizational purposes only.

Insurance information shown through the Service may not include all exclusions, endorsements, limitations, waiting periods, eligibility rules, renewal terms, or policy changes. The official insurance policy and documents issued by the insurer control.

Investment values and forecasts can change and may result in financial loss. Past performance does not guarantee future results.

Tax laws, insurance rules, financial regulations, and individual circumstances vary. Consult an appropriately qualified professional before making a material decision.

No use of the Service creates an advisory, fiduciary, professional, agency, partnership, or client relationship between you and Moat Finance.

9. Forecasts and calculated information

The Service may generate forecasts, scenarios, projections, categorizations, estimates, and calculated financial metrics.

These outputs may depend on:

  • Information you provide
  • Data supplied by third parties
  • Assumptions you configure
  • Historical performance
  • Estimated inflation or growth rates
  • Categorization rules
  • Incomplete or delayed financial data

Forecasts are hypothetical and are not promises or guarantees of future results. Actual outcomes may differ materially.

You are responsible for reviewing assumptions and verifying source data before relying on any forecast or calculation.

10. Local and offline desktop mode

Moat Finance may offer a local-only desktop mode that stores financial information in a local database on your computer.

When using local-only mode, you are responsible for:

  • Securing your computer and operating-system account
  • Protecting access to the local database
  • Maintaining backups
  • Securing exported files
  • Installing software and security updates
  • Protecting any locally stored authentication credentials
  • Preventing unauthorized physical or remote device access
  • Preserving any information you do not want to lose

Local information may be permanently lost because of hardware failure, file corruption, accidental deletion, malware, device theft, operating-system changes, failed updates, or a failure to maintain backups.

To the maximum extent permitted by law, Moat Finance is not responsible for the loss, corruption, exposure, or deletion of locally stored information unless directly caused by our intentional misconduct or a violation of a duty that cannot legally be disclaimed.

Some desktop features may communicate with our servers for authentication, updates, account connections, licensing, support, or optional cloud functionality. Local-only financial records will be handled as described in our Privacy Policy.

11. Subscriptions, free trials, and billing

Some features require a paid subscription.

Prices, included features, account limits, billing intervals, and available plans are shown at the time of purchase. Prices may vary by platform, region, tax requirements, promotional offer, or number of actively synced accounts.

Free trials

We may offer a free trial to eligible users. We do not collect payment card information until after the free trial ends. When the trial ends, you may choose a paid subscription and provide a payment method to continue; if you do not subscribe, access to paid features may end.

We may limit free trials to one per person, household, or account.

Monthly subscriptions

Monthly subscriptions renew automatically each month until canceled.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current paid billing period, and you will continue to have access to the applicable paid features until that period ends. Your subscription will not renew after cancellation.

Except where required by applicable law or expressly stated otherwise, subscription payments are non-refundable and are not prorated for partially used billing periods.

Annual subscriptions

Annual subscriptions renew automatically each year until canceled.

You may cancel your annual subscription at any time. Cancellation takes effect at the end of the current annual billing period, and you will continue to have access to the applicable paid features until that period ends. Your subscription will not renew after cancellation.

Except where required by applicable law or expressly stated otherwise, annual subscription payments are non-refundable and will not be prorated or refunded based on the amount of time remaining in the annual billing period.

We may, at our discretion, issue refunds or credits in exceptional circumstances. Any such refund or credit does not create an obligation to provide the same or a similar refund or credit in the future.

Synced-account pricing

If your subscription price depends on the number of actively synced financial accounts, your price may change when accounts are added, removed, disconnected, or no longer actively synced.

We will display applicable pricing before charging you when reasonably possible.

Platform billing

Subscriptions purchased through the Apple App Store, Google Play, or another third-party marketplace may also be subject to that marketplace’s cancellation and refund policies.

Taxes

Prices may not include applicable taxes. You are responsible for taxes charged in connection with your purchase, except taxes imposed on our income.

Payment failures

If a payment fails, we may retry the payment, limit paid functionality, suspend the subscription, or cancel the subscription after providing reasonable notice.

12. Cancellation and account deletion

You may cancel a subscription through the applicable account settings or purchasing platform.

Canceling a subscription does not automatically delete your account or data.

You may request account deletion through the Service or by contacting support@moatfinance.ai. Account deletion is handled according to our Privacy Policy and may be subject to limited retention required for security, fraud prevention, dispute resolution, backups, or legal compliance.

You should export any information you want to retain before deleting your account.

13. Acceptable use

You may not use the Service to:

  • Violate any law or regulation
  • Access financial information without authorization
  • Impersonate another person
  • Submit false or fraudulent information
  • Circumvent authentication, authorization, scope, or usage restrictions
  • Share or sell access credentials
  • Interfere with or disrupt the Service
  • Probe, scan, or test vulnerabilities without written permission
  • Reverse engineer the Service except where applicable law expressly permits it
  • Introduce malware or harmful code
  • Scrape or extract data through unauthorized automated means
  • Use the Service to facilitate fraud, money laundering, identity theft, market manipulation, or other unlawful financial activity
  • Overload, abuse, or attempt to evade rate limits
  • Use another person’s financial, insurance, or personal information without permission
  • Misrepresent AI-generated information as verified professional advice

We may investigate suspected violations and restrict or suspend access when reasonably necessary to protect users, providers, the Service, or the public.

14. Intellectual property

The Service, including its software, interface, branding, designs, documentation, and original content, is owned by Moat Finance or its licensors and is protected by applicable intellectual-property laws.

These Terms grant you a limited, revocable, nonexclusive, nontransferable right to use the Service for its intended purposes.

These Terms do not transfer ownership of Moat Finance intellectual property to you.

You may provide feedback, ideas, or suggestions. You grant us permission to use feedback without restriction or compensation, provided we do not publicly identify you as the source without permission.

Open-source software included in the Service remains subject to its applicable licenses.

15. Third-party services

The Service relies on or integrates with third-party services that may include financial-data providers, payment processors, hosting providers, authentication providers, analytics providers, email providers, app marketplaces, financial institutions, AI platforms, and other software.

Your use of a third-party service may be governed by that provider’s own terms and privacy policy.

We do not control third-party services and cannot guarantee their availability, accuracy, security, performance, or continued compatibility.

We are not responsible for a third party’s acts, omissions, outages, policy changes, or handling of information, except to the extent applicable law makes us responsible.

16. Service availability and changes

We aim to provide a reliable Service, but we do not guarantee uninterrupted or error-free operation.

The Service may be unavailable because of:

  • Maintenance
  • Software errors
  • Third-party outages
  • Financial institution changes
  • Internet or device problems
  • Security incidents
  • Legal or regulatory requirements
  • Events beyond our reasonable control

We may impose reasonable usage limits, rate limits, or storage limits to maintain security and reliability.

We may update desktop, mobile, browser-extension, API, MCP, or other software. Some updates may be required to continue using the Service safely.

17. Beta and experimental features

Features identified as beta, preview, experimental, early access, developer mode, or similar may:

  • Change substantially
  • Produce incorrect results
  • Be unavailable at times
  • Have limited support
  • Be discontinued without notice

You use beta features at your own risk. You should not use them as the sole basis for an important financial, insurance, legal, tax, or investment decision.

18. Suspension and termination

We may suspend or terminate your access if:

  • You materially violate these Terms
  • Your use creates a security or legal risk
  • You fail to pay applicable charges
  • We reasonably suspect fraud or unauthorized activity
  • We are required to do so by law
  • Continuing to provide the Service becomes impracticable

When reasonably possible, we will provide notice and an opportunity to correct the issue before termination, unless immediate action is necessary to prevent harm, protect security, or comply with law.

You remain responsible for charges incurred before termination.

Sections that by their nature should survive termination will remain effective, including provisions concerning ownership, disclaimers, liability, indemnification, disputes, and amounts owed.

19. Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided “as is” and “as available.”

Moat Finance disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, accuracy, availability, and noninfringement.

We do not warrant that:

  • The Service will always be available, secure, or error-free.
  • Financial information will be complete, current, or accurate.
  • Transactions will be correctly categorized.
  • Forecasts or AI outputs will be correct.
  • Every financial institution or integration will remain supported.
  • The Service will identify every error, duplicate, fee, policy gap, risk, or financial opportunity.
  • Use of the Service will produce a particular financial outcome.

Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.

20. Limitation of liability

To the maximum extent permitted by law, Moat Finance and its operator, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost savings, lost opportunities, lost data, business interruption, or reputational harm arising from or related to the Service.

This limitation includes losses arising from:

  • Incorrect, incomplete, or delayed financial data
  • Decisions based on forecasts, calculations, or AI-generated responses
  • Insurance, tax, investment, credit, or financial decisions
  • Third-party services or financial institutions
  • Unauthorized access caused by your failure to protect credentials or devices
  • Loss or corruption of locally stored information
  • Service interruptions or discontinued integrations

To the maximum extent permitted by law, our total aggregate liability for all claims arising from or relating to the Service will not exceed the greater of:

  1. The amount you paid to Moat Finance during the twelve months immediately preceding the event giving rise to the claim; or
  2. One hundred U.S. dollars.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

21. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Moat Finance and its operator, contractors, licensors, and service providers from claims, damages, liabilities, losses, and reasonable expenses arising from:

  • Your unlawful or unauthorized use of the Service
  • Your violation of these Terms
  • Information you upload or connect without authorization
  • Your infringement of another person’s rights
  • Access you grant to household members or third-party integrations
  • Your misuse of financial or AI-generated information

This obligation does not apply to the extent a claim results from our own unlawful conduct, gross negligence, or intentional misconduct.

22. Dispute resolution and binding arbitration

Please read this section carefully. It affects your legal rights.

Informal dispute notice

You and Moat Finance agree to attempt to resolve disputes informally before beginning arbitration.

Before filing a claim, the complaining party must send a written notice describing:

  • The party’s name and contact information
  • The relevant account email address
  • The facts giving rise to the dispute
  • The requested resolution

Notices to Moat Finance must be sent to support@moatfinance.ai with the subject line Legal Dispute Notice.

The parties will attempt in good faith to resolve the dispute for at least 30 days after receipt of the notice.

Binding individual arbitration

Except for matters eligible for small claims court and requests for temporary or preliminary injunctive relief concerning unauthorized access or intellectual property, any dispute arising from or relating to these Terms or the Service will be resolved through binding individual arbitration rather than in court.

The arbitration will be administered by the American Arbitration Association under its applicable Consumer Arbitration Rules, as modified by these Terms.

The arbitration may be conducted by video conference, telephone, written submissions, or in person, as determined under the applicable rules.

The arbitrator may award the same individual remedies available in court, but may not combine claims or award relief for anyone other than the individual parties to the arbitration.

Arbitration costs

Payment of filing, administration, and arbitrator fees will be governed by the applicable arbitration rules and law. Moat Finance will not seek attorneys’ fees from you unless the arbitrator determines that your claim was frivolous or brought for an improper purpose.

Small claims court

Either party may bring an individual claim in a court of competent small-claims jurisdiction, provided the claim remains individual and within that court’s authority.

Class-action waiver

To the maximum extent permitted by law, disputes must be brought only in an individual capacity.

Neither you nor Moat Finance may participate as a plaintiff, claimant, or class member in a class, collective, consolidated, coordinated, mass, or representative proceeding.

The arbitrator may not combine the claims of more than one person without the written agreement of all parties.

Jury-trial waiver

To the extent a dispute is permitted to proceed in court, you and Moat Finance waive the right to a jury trial to the maximum extent permitted by law.

Opting out of arbitration

You may opt out of this arbitration agreement by emailing support@moatfinance.ai within 30 days after you first accept these Terms.

Your opt-out notice must include:

  • Your full name
  • The email address associated with your Moat Finance account
  • A clear statement that you are opting out of the arbitration agreement

Opting out of arbitration will not affect the remaining provisions of these Terms.

If arbitration is unenforceable

If the arbitration requirement is found unenforceable for a particular claim, that claim will be resolved exclusively in the state or federal courts located in Utah County, Utah, unless applicable law requires otherwise.

23. Governing law

These Terms and any dispute arising from them are governed by the laws of the State of Utah, without regard to conflict-of-law principles.

The Federal Arbitration Act governs the interpretation and enforcement of the arbitration provisions.

Nothing in these Terms limits consumer protections that cannot be waived under the laws applicable to you.

24. Changes to these Terms

We may update these Terms as the Service evolves.

If we make a material change, we will provide reasonable notice through email, the Service, or another appropriate method before the change takes effect.

The updated Terms will identify the new effective date.

Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to a material update, you must stop using the Service and cancel any subscription.

Changes to the arbitration provision will not apply retroactively to a dispute for which the parties had actual notice before the change took effect.

25. Electronic communications

You agree that we may provide agreements, notices, disclosures, receipts, and other communications electronically, including by email, in-app notice, or posting through the Service.

You are responsible for maintaining a current email address on your account.

Electronic communications satisfy any legal requirement that a communication be in writing, to the extent permitted by law.

26. Assignment

You may not transfer or assign these Terms or your account without our written permission.

We may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, formation of a successor business entity, or transfer of the Service.

27. General terms

These Terms, together with the Privacy Policy and any additional terms presented for a particular feature or plan, constitute the entire agreement between you and Moat Finance regarding the Service.

If a provision is found invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain effective.

Our failure to enforce a provision is not a waiver of that provision.

Headings are for convenience only and do not affect interpretation.

Nothing in these Terms creates a partnership, joint venture, employment, agency, fiduciary, or franchise relationship.
